These Terms and Conditions of Service ("Terms") constitute a legally binding agreement between you and Beebizy, Inc. ("Company" or "Beebizy") governing your use of the Beebizy Platform (as defined below), Company's website (https://www.beebizy.com or the "Site") and mobile applications (the "Apps"). The Beebizy Platform and related services provided by Company, the Site, and Apps, including without limitation communications and information (whether in writing, orally, or otherwise howsoever) provided by Company to potential and actual Talent and Clients (both as defined at Section 1) in relation to the services, together are hereinafter collectively referred to as the "Beebizy Platform."

Any personal data you submit to the Beebizy Platform or which we collect about you is governed by our Privacy Policy ("Privacy Policy"). A copy of our Privacy Policy is available here. You acknowledge that by using the Beebizy Platform you have reviewed and agree to the Privacy Policy.

Your use of the Beebizy Platform constitutes your acceptance of and agreement to all of the terms and conditions in these Terms, the Privacy Policy and any future amendments and additions to this Agreement (as defined below) as we may publish from time to time. The Privacy Policy is incorporated by reference into these Terms and together form and are referred to herein as this "Agreement".

PLEASE NOTE: THIS AGREEMENT GOVERNS HOW DISPUTES BETWEEN YOU AND BEEBIZY CAN BE RESOLVED. IT CONTAINS A BINDING AND FINAL ARBITRATION PROVISION AND CLASS ACTION WAIVER (SECTION 19 OR 20, AS APPLICABLE). PLEASE READ CAREFULLY AS IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING, IF APPLICABLE, YOUR RIGHT TO OPT OUT OF ARBITRATION.

IN ADDITION, BY ENTERING INTO THIS AGREEMENT, YOU EXPRESSLY ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND AND AGREE, WITHOUT LIMITATION OR QUALIFICATION, TO BE BOUND BY THIS AGREEMENT (INCLUDING THE DISPUTE RESOLUTION AND ARBITRATION PROVISIONS IN SECTION 19 OR 20, AS APPLICABLE) AND YOU ACCEPT ALL OF ITS TERMS.

IF YOU DO NOT AGREE TO BE BOUND BY THIS AGREEMENT, YOU MAY NOT USE OR ACCESS THE BEEBIZY PLATFORM.

You must be 18 years old (for U.S. based users) or at least the legally required age in the jurisdiction in which you reside, and otherwise capable of entering into binding contracts, in order to use or access the Beebizy Platform. If you are under 18 years old (for U.S. based users) or the age of majority in your jurisdiction, then you may not use or access the Beebizy Platform. Children under 13 years old are prohibited from accessing the Beebizy Platform or otherwise providing any personal information to Beebizy.

A few highlights of these Terms include:

1. The Beebizy Platform Connects Talent and Clients

Beebizy and its affiliates make available certain proprietary technology services, including, without limitation and subject to change, on-demand lead generation, scheduling and payment processing, that facilitate the marketing, sale and fulfillment of Jobs, as herein defined, for Users. The Beebizy Platform is a web-based communications platform, including a mobile application and other technology interface, which enables connections between Clients and Talent. "Clients" are individuals and/or businesses seeking to obtain short-term services ("Jobs") from Talent and are therefore clients of Talent, and "Talent" are individuals and/or businesses seeking to perform Jobs for Clients. Clients and Talent together are hereinafter referred to as "Users" and any user of the Beebizy Platform may be referred to as "you." If you agree on the terms of a Job with another User, you and such other User form a Service Agreement directly between the two of you as set forth in more detail in Section 3 below.

TALENT ARE NOT EMPLOYEES, PARTNERS, REPRESENTATIVES, AGENTS, JOINT VENTURERS, INDEPENDENT CONTRACTORS OR FRANCHISEES OF COMPANY. COMPANY DOES NOT PERFORM JOBS AND DOES NOT EMPLOY OR ENGAGE INDIVIDUALS OR OTHER PERSONS OR ENTITIES TO PERFORM JOBS. USERS HEREBY ACKNOWLEDGE AND AGREE THAT COMPANY DOES NOT SUPERVISE, DIRECT, CONTROL OR MONITOR ANY TALENT'S WORK AND EXPRESSLY DISCLAIMS ANY RESPONSIBILITY AND LIABILITY FOR THE WORK PERFORMED AND THE JOBS IN ANY MANNER, INCLUDING BUT NOT LIMITED TO A WARRANTY OR CONDITION OF GOOD AND WORKMANLIKE SERVICES, WARRANTY OR CONDITION OF QUALITY OR FITNESS FOR A PARTICULAR PURPOSE, OR COMPLIANCE WITH ANY LAW, REGULATION, OR CODE.

Talent may elect to have a limited background check process conducted before they register for and/or during their use of the Beebizy Platform. This background check may include a limited check to verify Talent's identity, sex offender status, social security, and criminal records, all through a third-party service, such as Sterling ("Identity Checks"). Talent will be charged a $25 fee for such Identity Checks.

You acknowledge and agree that a legally binding contract (the "Service Agreement") is formed when you agree on the terms of a Job with another User. The terms of the Service Agreement include the terms set forth in this Section 3, the engagement terms proposed and accepted on the Beebizy Platform, and any other contractual terms accepted by both the Talent and their Client to the extent such terms do not conflict with the terms in this Agreement.

Users of the Beebizy Platform contract for Jobs directly with other Users. Company will not be a party to any contracts for Jobs or services. Payment for Job services through the Beebizy Platform is made directly from the Client to the Talent via the PSP, and not by Company.

If a Client cancels a Job seven (7) days or more from the time of when such Job was scheduled to be performed, Client will receive a refund equal to the amount of Job Payment minus the Beebizy transaction fee. If a Client cancels a Job three (3) days or more from the time of when such Job was scheduled to be performed, Client will receive a refund equal to 50% of the Job Payment minus the Beebizy transaction fee. If a Client cancels a Job within forty-eight (48) hours from the time of when such Job is scheduled to be performed, Client will not receive any refund.
